Please read these Terms of Service ("Terms") carefully before using the CYA Engine platform operated by CYA Engine ("we," "us," or "our"). These Terms govern your access to and use of cyaengine.com and all related services, APIs, and integrations.

1. Acceptance of Terms

By accessing or using the CYA Engine platform in any way — including browsing, creating an account, submitting data, or connecting third-party services — you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the platform. Your continued use of the platform after any updates to these Terms constitutes your acceptance of the revised Terms.

2. Description of Service

CYA Engine is a data and analytics engine for marketing, videography, and content management. The platform provides a client management dashboard with the following core capabilities:

—Client profile management, onboarding questionnaires, and business intelligence tools
—Content strategy generation, analytics reporting, and performance tracking
—Media file storage and organization via Google Drive integration
—CRM management and SMS/text messaging delivery via GoHighLevel
—Instagram account monitoring, comment notifications, and engagement analytics via the Instagram API
—User authentication and access control via Clerk
—Database infrastructure and real-time data via Supabase

We reserve the right to modify, suspend, or discontinue any part of the platform at any time with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. User Accounts

Account Creation

To access most features of CYA Engine, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. Account authentication is managed through Clerk. You must be at least 18 years old to create an account.

Account Responsibility

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at keithlemay85@gmail.com if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your credentials.

Suspension and Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or abusive activity, or if required by law. You may also close your account at any time by contacting us.

4. Acceptable Use

You agree to use CYA Engine only for lawful purposes and in accordance with these Terms. You must not:

—Use the platform in any way that violates applicable local, national, or international laws or regulations
—Transmit any unsolicited or unauthorized advertising or promotional material (spam)
—Attempt to gain unauthorized access to any part of the platform, its systems, or networks
—Reverse engineer, decompile, or attempt to extract source code from the platform
—Upload, post, or transmit any content that is unlawful, defamatory, obscene, or otherwise objectionable
—Use the platform to harass, abuse, or harm any individual or group
—Impersonate any person, business, or entity, or falsely state or misrepresent your affiliation with any person or entity
—Use automated scripts, bots, or scrapers to access or collect data from the platform without prior written consent
—Interfere with or disrupt the integrity, performance, or availability of the platform or its underlying infrastructure
—Violate the terms of service or usage policies of any third-party service integrated with the platform (including Meta, Google, GoHighLevel, Clerk, or Supabase)

5. Intellectual Property

Our Property

The CYA Engine platform, including its design, code, features, workflows, branding, and all associated intellectual property, is owned by CYA Engine and is protected by applicable copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the platform solely for its intended purposes in accordance with these Terms. No other rights are granted.

Your Content

You retain ownership of all content, data, client information, media files, and other materials you input into or upload to the platform ("Your Content"). By using the platform, you grant CYA Engine a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely as necessary to provide the platform's services to you. We do not claim ownership of Your Content and will not use it for any purpose beyond delivering the service.

6. SMS / Text Messaging Terms

Program Name

CYA Engine Notifications

CYA Engine uses GoHighLevel to deliver SMS messages. Message types include transactional alerts, service notifications, and Instagram comment notifications for connected accounts. By providing your phone number and opting in through any CYA Engine form, intake page, or platform setting, you expressly consent to receive SMS text messages from CYA Engine at the phone number provided.

—Message frequency varies based on your account activity and notification preferences.
—Message and data rates may apply. Check with your mobile carrier for details.
—Carriers are not liable for delayed or undelivered messages.
—Consent to receive SMS messages is not a condition of purchasing any goods or services.

Opt-Out

You can opt out of SMS messages at any time by replying STOP to any message. After opting out, you will no longer receive SMS messages from CYA Engine unless you re-enroll.

Data Sharing — SMS (A2P 10DLC Compliance)

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

Text messaging originator opt-in data and consent will not be shared with any third parties, except those aggregators and providers of the Text Message services (such as GoHighLevel and their carrier partners) who are necessary to deliver the messages.

Our SMS messaging program complies with the Telephone Consumer Protection Act (TCPA), CTIA Messaging Principles and Best Practices, and all applicable federal, state, and provincial messaging regulations. 7. Instagram / Meta Platform Integration

CYA Engine integrates with the Instagram API (provided by Meta Platforms, Inc.) to deliver comment monitoring and notification features for connected Instagram Business or Creator accounts.

—Use of the Instagram API through CYA Engine is subject to Meta Platform Terms (developers.facebook.com/terms) and Meta's Developer Policies.
—By connecting your Instagram account, you authorize CYA Engine to receive webhook notifications for comments, mentions, and other events on your connected accounts.
—CYA Engine complies with all Meta Developer Policies and Meta Platform Terms in its use of the Instagram API.
—Data received through the Instagram API — including usernames, profile IDs, and comment content — is used solely to provide notification services to you and is handled in accordance with our Privacy Policy.
—You can revoke CYA Engine's access to your Instagram account at any time through Meta's app settings at facebook.com/settings or through Instagram's connected apps settings.
—CYA Engine does not use Instagram API data for advertising, targeting, or any purpose beyond delivering the features you have requested.

8. Third-Party Services

CYA Engine relies on the following third-party services to operate. Your use of the platform is also subject to their respective terms and policies:

We are not responsible for the availability, accuracy, or content of any third-party service. Downtime or changes in third-party services may affect platform functionality, and we will not be liable for any resulting disruption.

9. Disclaimers

THE CYA ENGINE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT OR DATA GENERATED BY OR DISPLAYED ON THE PLATFORM.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CYA ENGINE, ITS OWNERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO CYA ENGINE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

11. Indemnification

You agree to indemnify, defend, and hold harmless CYA Engine and its owners, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of or access to the platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content you submit, post, or transmit through the platform.

12. Termination

Either party may terminate these Terms at any time. You may terminate by ceasing to use the platform and requesting account deletion by contacting us at keithlemay85@gmail.com. We may terminate or suspend your access immediately and without prior notice if we determine you have violated these Terms or if we discontinue the platform.

Upon termination, your right to access and use the platform will cease immediately. We will handle your data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada. If you are accessing the platform from outside Canada, you are responsible for compliance with your local laws.

14. Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our services, business practices, or applicable law. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you through the platform or by email. Your continued use of CYA Engine after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree with any updated Terms, you must stop using the platform.
